Service and Use Agreement

This Service and Use Agreement ("Agreement") is a binding contract between Innovative Computer Services and Solutions ("ICSS," "we," "us," or "our"), a California-based business, and you ("Client," "you," or "your"). By placing an order, activating a service, or using any service provided by ICSS, you agree to be bound by this Agreement in full.

1. Services

ICSS provides shared web hosting services, SSL certificates, and related services as described on our website and in your order at the time of purchase. Service specifications — including storage, email accounts, databases, and bandwidth — are defined by the hosting plan selected.

2. Account Responsibility

You are solely responsible for all activity that occurs under your account. You must maintain the confidentiality of your account credentials and notify us immediately at support@icssinc.com if you suspect unauthorized access. ICSS will not be liable for any loss or damage arising from unauthorized use of your account.

3. Acceptable Use

You agree not to use our services to:

• Host, transmit, or distribute illegal content, malware, or spam
• Conduct phishing, fraudulent activity, or identity theft
• Infringe upon the intellectual property rights of any third party
• Consume excessive server resources in a way that degrades service for other clients
• Operate services that violate any applicable federal, state, or local law

ICSS reserves the right to suspend or terminate any account found to be in violation of this section without prior notice.

4. Payment and Billing

Services are billed on a monthly basis unless otherwise specified at time of purchase. Payment is due at the start of each billing period. Failure to pay within 10 days of the due date may result in service suspension. Accounts suspended for non-payment for more than 30 days may be permanently terminated and data deleted.

All fees are stated in US dollars. ICSS reserves the right to adjust pricing with 30 days written notice to the email address on file.

5. Cancellation and Refunds

You may cancel your service at any time by contacting support@icssinc.com. Cancellations take effect at the end of the current billing period. ICSS does not offer pro-rated refunds for partial billing periods. Prepaid amounts are non-refundable unless otherwise required by law.

6. Service Availability

ICSS will make reasonable efforts to maintain service availability. Scheduled maintenance will be communicated in advance where possible. ICSS does not guarantee uninterrupted or error-free service and shall not be liable for downtime resulting from circumstances beyond our reasonable control, including hardware failure, network outages, or third-party provider issues.

7. Backups

ICSS performs regular backups of hosted data as a courtesy. However, you are solely responsible for maintaining your own independent backups. ICSS is not liable for any data loss regardless of cause. We strongly recommend maintaining a current local backup of all website files and databases.

8. Termination

ICSS reserves the right to terminate any account at any time for violation of this Agreement, non-payment, or for any activity that ICSS reasonably determines to be harmful to its infrastructure, other clients, or the public. Upon termination, access to services will be revoked and data may be permanently deleted after 14 days.

9. Limitation of Liability

To the maximum extent permitted by applicable law, ICSS shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, loss of revenue, or loss of business arising from your use of our services. Our total liability to you for any claim shall not exceed the amount paid by you to ICSS in the 30 days preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless ICSS, its owners, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of our services, your violation of this Agreement, or your violation of any third-party rights.

11. Modifications to This Agreement

ICSS may update this Agreement at any time. We will notify you of material changes by email to the address on file. Continued use of our services after the effective date of any changes constitutes your acceptance of the revised Agreement.

12. Governing Law

This Agreement is governed by the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising under this Agreement shall be resolved in the courts of California.
